Asset Securitization and Structured Finance
Overview
To provide successful legal advice on securitization and structured finance transactions, an accurate understanding of the transaction structure, thorough review of the legality of the transaction structure and presentation of alternatives, and accurate reflection of the parties' intentions when drafting related contracts are required. Since the enactment of the 'Asset Securitization Act' in September 1998, many companies have raised funds and improved their financial structure through the issuance of ABS, ABCP, ABL, etc., and HANBYOL LAW, LLC is doing its best to provide effective advice on securitization and structured finance transactions.

Hankook Ivy Financial raises $22.5 billion secured by PEF stakes
Korea Ivy Finance (formerly Aju Auto Lease) raised 22.5 billion won by securitizing a private equity fund (PEF) investment stake, marking the first domestic case of PEF-equity-backed securitization. Kiwoom Securities arranged the deal: an SPC issued a one-year ABCP, and Korea Ivy Finance entrusted its SHCF PEF equity securities (acquisition cost 22.5 billion won) to SC First Bank and designated the SPC as the primary beneficiary, making the PEF equity the effective underlying asset. The SHCF PEF is primarily invested in convertible bonds issued by ANP Financial, and Kiwoom said it will pursue new areas of securitization in the market.
